New Plan Period within the Share-Based Incentive Scheme for Bittium’s Management

The Board of Directors of Bittium Corporation has decided on the commencement of a new plan period within the share-based long-term incentive scheme for the Company’s management, comprising a Performance Share Plan for the calendar years 2025—2027 (“PSP 2025—2027”).
Bittium originally announced the establishment of the share-based incentive scheme on 19 June 2023. It comprises three individual three-year plans, the commencement of each new plan being, however, subject to a separate decision of the Board of Directors. The Board did not establish PSP 2024—2026. The plan now established, PSP 2025—2027, is the last plan in the above-mentioned incentive scheme.
The objectives of the share-based incentive scheme are to align the interests of Bittium's management with those of the Company's shareholders and, thus, to promote shareholder value creation in the long term, to commit the management to achieving Bittium's strategic targets and the retention of Bittium's management.
PSP 2025—2027 comprises a one-year performance period, which is followed by the payment of the share reward and a two-year transfer restriction period. The payment of the reward is conditional on the achievement of the performance targets which the Board of Directors has set for the plan. The potential reward will be paid in shares of Bittium Corporation.
The performance measure based on which the potential share reward under PSP 2025—2027 will be paid is the net sales growth of the Company.
Eligible for participation in PSP 2025—2027 are maximum 11 individuals, including the Management Group members with the exception of the CEO for whom the Company has established a matching share plan announced on 15 May 2025.
The aggregate maximum number of shares to be paid based on PSP 2025—2027 is approximately 62 500 shares (gross reward from which the applicable payroll tax is withheld).
