THE INCREASE OF THE SHARE CAPITAL RESULTING FROM THE EMPLOYEE OFFERING

The Board of Directors of the Company has decided to extend the payment period of the subscription price of the shares subscribed for in the employee offering as resolved by the Elektrobit Group Plc's Board of Directors on November 4, 2002. The shares shall be paid by December 18, 2002 at the latest. The increase of share capital resulting from the employee offering amounting to EUR 80,000, will be registered in the trade register on or about December 20, 2002.
