ANNUAL GENERAL MEETING OF JOT AUTOMATION GROUP OYJ'S SHAREHOLDERS


At the annual general meeting, shareholders of JOT Automation Group Plc did not handle the merger plan for JOT Automation Group Plc. and PMJ automec Corporation. The board of directors of JOT Automation Group withdrew its proposal for the merger plan after receiving at the meeting confirmation that shareholders of PMJ automec did not approve the merger plan. As a result the companies will not consolidate, but will remain as separate companies.

"We were surprised that the shareholders of PMJ automec did not approve of the merger process put in to motion at the initiation of PMJ's management. JOT Automation Group will continue its operations and growth as an independent company and concentrate now on carrying forward other alternatives", commented JOT Automation Group's CEO Jorma Terentjeff. He continued: "the withdrawal of the merger will not affect negatively our business in the future."

At the annual general meeting, shareholders of JOT Automation Group Oyj approved the consolidated financial statements for 1999 as presented by the board of directors on 20 February 2000 and discharged the members of the board of the directors and the chief executive officer of JOT Automation Group Oyj from liability.

At the shareholders' meeting, shareholders approved the dividend to be 0,013 euro per share in accordance with the board of directors proposal. The dividend shall be paid to all shareholders registered in the company's register of shareholders maintained by the Finnish Central Securities Depository Ltd on record date 17 April 2000. The date of payment for the dividend will be 26 April 2000. At the shareholders' meeting shareholders elected Mika Kettula, Jorma Terentjeff, and Juha Sipilä to be members of the board of directors of JOT Automation Group Oyj. A meeting held after the shareholders' meeting, the board of directors elected Juha Sipilä to be the chairman of the board of directors of JOT Automation Group Oyj.

Tilintarkastajien Oy Ernst & Young was elected to be the company's auditor and Rauno Sipilä, KHT, will service primarily responsible auditor.

JOT Automation Group specializes in manufacturing and marketing production automation for the electronics industry. The group has subsidiaries in nine countries. On December 31, 1999 the group employed 601 people and its net sales from January 1 to December 31, 1999 came to 99.4 million euros. The company's shares are listed on the Helsinki Exchanges.
