TRANSFER OF ELEKTROBIT CORPORATION'S SERIES 2008C STOCK OPTIONS TO THE BOOK-ENTRY SYSTEM AND LISTING OF STOCK OPTIONS 2008C ON THE OFFICIAL LIST OF NASDAQ OMX HELSINKI
The Board of Directors of Elektrobit Corporation has decided on the transfer of series 2008C stock options to the Finnish book-entry system and to apply for listing of 1.400.000 stock options 2008C on the official list of NASDAQ OMX Helsinki. Application will be made for the listing to commence on April 1, 2014.
The Board of Directors of Elektrobit Corporation has also decided that Svenska Handelsbanken AB (publ) Branch Operation in Finland, Aleksanterinkatu 11, 00100 Helsinki, shall act as the share subscription place and that subscriptions shall be made by paying the share subscription price.
The share subscription period for series 2008C stock options will commence on April 1, 2014 and will end on March 31, 2016. The share subscription price for series 2008C stock options is EUR 0.61 per share. The amount of the dividend or the amount of the distributable non-restricted equity decided before share subscription will be deducted from the share subscription price as per the dividend record date or the record date of the repayment of equity. Each stock option entitles its holder to subscribe for one Elektrobit Corporation's share. As a result of the subscription of shares pursuant to the series 2008C stock options, the number of the Elektrobit Corporation shares may increase by a maximum of 1.400.000 new shares.
New shares subscribed for pursuant to series 2008C stock options will be listed as additional lots of Elektrobit Corporation's shares on the official list of NASDAQ OMX Helsinki together with the old shares after the new shares have been registered.
Listing time schedule for shares subscribed for pursuant to series 2008A-C stock options shall be in 2014 as follows:
Shares subscribed for by January 27, 2014 including this day, will be listed on or around February 11, 2014
Shares subscribed for by March 31, 2014 including this day, will be listed on or around April 15, 2014
Shares subscribed for by June 9, 2014 including this day, will be listed on or around June 25, 2014
Shares subscribed for by August 18, 2014 including this day, will be listed on or around September 2, 2014
Shares subscribed for by October 15, 2014 including this day, will be listed on or around October 30, 2014
Shares subscribed for by December 1, 2014 including this day, will be listed on or around December 16, 2014.
